Welcome to Yogpolis, a yoga industry platform operated by Yogpolis Infolabs Pvt Ltd ("Yogpolis", "we", "us", or "our"). By accessing or using our website, mobile applications, and any related services (collectively, the "Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

By creating an account, browsing the platform, or engaging with any Yogpolis feature, you acknowledge that you have read, understood, and agree to these Terms, along with our Privacy Policy, Refund & Cancellation Policy, and Shipping & Delivery Policy. These Terms constitute a legally binding agreement between you and Yogpolis Infolabs Pvt Ltd.

If you are using the Service on behalf of a business entity such as a yoga studio, retreat center, or wellness practice, you represent that you have the authority to bind that entity to these Terms.

2. Description of Service

Yogpolis is a comprehensive platform built for the yoga and wellness industry. The Service connects yoga studios, independent instructors, retreat organizers, Ayurveda doctors, nutritionists, physiotherapists, and other wellness professionals with students and clients. The Service includes, but is not limited to, the following features:

Yoga Studio Management — Tools for studios to manage staff, locations, resources, and day-to-day operations.
Flow Designer — A visual builder for designing yoga sequences, class plans, and practice flows.
Class Scheduling & Booking — Calendar management, class scheduling, online booking, waitlists, and reminders for students and instructors.
Membership Management — Membership plans, recurring subscriptions, member profiles, attendance tracking, and renewals.
Billing & Payments — Invoicing, payment collection, automated recurring billing, and financial reporting.
Marketplace — A marketplace for wellness products, courses, workshops, and services offered by professionals and vendors.
Neurax AI — AI-assisted conversation, insights, and automation features that support engagement, booking, and customer support.
Analytics — Dashboards and reports covering attendance, revenue, retention, and operational performance.

We may add, modify, or discontinue features at any time without prior notice. We are not liable for any disruption, suspension, or discontinuation of the Service or any part of it.

3. User Accounts

To access most features of the Service, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration and keep it updated.
Maintain the confidentiality of your login credentials and be responsible for all activity under your account.
Notify us immediately of any unauthorized use of your account or any security breach.
Be at least 18 years of age, or use the Service under the supervision of a parent or legal guardian.
Provide one account per person or business entity; sharing credentials across multiple users is not permitted.

We reserve the right to suspend or terminate accounts that we believe violate these Terms or applicable law.

4. Pricing and Payment

Yogpolis offers a free tier with limited features, as well as paid subscription plans with expanded capabilities. Pricing for paid plans is published on our pricing page and may change from time to time. By subscribing to a paid plan, you authorize us to charge the applicable fees through your chosen payment method.

In addition to subscription fees, the following platform fees may apply based on usage:

Class booking fee: Rs. 10 per booking processed through the platform.
WhatsApp notification: Rs. 1 per message sent on your behalf.
Email notification: Rs. 0.50 per email sent on your behalf.
Payment gateway fees: Fees charged by third-party payment processors (such as Razorpay) are passed through to you at cost and are in addition to any Yogpolis platform fees.

All fees are exclusive of applicable taxes unless stated otherwise. Invoices are generated electronically, and payments are processed through approved payment gateways. Overdue balances may result in suspension of access to paid features. For details on refunds and cancellations, please refer to our Refund & Cancellation Policy.

5. Intellectual Property

All content on the Yogpolis platform, including the Yogpolis name, logo, software, designs, text, graphics, and the Neurax AI technology, is the intellectual property of Yogpolis Infolabs Pvt Ltd or its licensors and is protected under applicable Indian and international laws.

You retain ownership of the content you upload to the Service, including class plans, sequences, media, and business data. By uploading content, you grant Yogpolis a limited, non-exclusive license to host, store, display, and process that content solely for the purpose of providing the Service to you.

You may not copy, reproduce, distribute, or create derivative works from any part of the Service without our prior written consent. Unauthorized use of our intellectual property may result in legal action.

6. Data Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information. By using the Service, you consent to the data practices described in the Privacy Policy.

7. Prohibited Activities

You agree not to engage in any of the following prohibited activities while using the Service:

Using the Service for any unlawful, fraudulent, or harmful purpose, or in violation of any applicable law.
Uploading or transmitting content that is defamatory, obscene, discriminatory, harassing, or infringes the rights of any third party.
Attempting to gain unauthorized access to any part of the Service, other accounts, or our systems.
Interfering with the proper functioning of the Service, including introducing viruses, malware, or automated scraping tools.
Misrepresenting your qualifications, certifications, or professional credentials, particularly for roles such as yoga instructor, Ayurveda doctor, nutritionist, or physiotherapist.
Using Neurax AI or any automation feature to send unsolicited communications or to mislead end users.
Reselling, sublicensing, or redistributing access to the Service without authorization.
Collecting or harvesting personal data of other users without their consent.

8. Limitation of Liability

The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Yogpolis Infolibs Pvt Ltd, its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, business, or goodwill, arising out of or related to your use of the Service.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any results obtained from its use will be accurate or reliable. You use the Service at your own risk. Yogpolis is not responsible for the conduct, qualifications, or services of any professional or business listed on the platform.

Our total aggregate liability for any claim arising out of or related to these Terms or the Service shall not exceed the amount you have paid us in the three (3) months preceding the event giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Yogpolis Infolibs Pvt Ltd, its affiliates, and their respective directors, officers, and employees from any claims, damages, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, your infringement of any third-party rights, or your conduct on or off the platform.

10. Termination

You may terminate your account at any time through your account settings or by contacting us at support@yogpolis.com. We may suspend or terminate your access to the Service immediately, without notice, if we believe you have violated these Terms or applicable law, or if your account poses a risk to the platform or other users.

Upon termination, your right to use the Service ceases. We may retain your data for a reasonable period as described in our Privacy Policy, after which it will be deleted in accordance with our data retention practices. Sections of these Terms that by their nature should survive termination, including intellectual property, limitation of liability, and indemnification, shall remain in effect.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India. You consent to the personal jurisdiction of such courts.

12. Changes to Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Material changes will be communicated through the platform or by email. Your continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you should stop using the Service.
